GENERAL TERMS AND CONDITIONS OF SALE

Preamble

These General Terms and Conditions of Sale (the "Terms") govern all orders for services placed on the website sanabil7.com (the "Site"). The Site is operated and managed by SHL Group LLC, registered in the State of New Mexico, United States (the "Seller"). Confirming an order on the Site implies the customer's unreserved acceptance of these Terms (the "Customer").

Article 1: Purpose and scope

The Site markets services consisting of the coordination, organisation and monitoring of international projects carried out by operational partners deployed in the areas of intervention. The Seller acts as a service provider and coordinator between the Customer and these operational partners. These Terms define the rights and obligations of the parties in the sale of these services.

Article 2: Legal nature of the order

It is expressly agreed that sums paid through the Site constitute the price of a service ordered by the Customer, namely the coordination and monitoring of the implementation of a specific project.

The order may under no circumstances be qualified as:

  • a sale of physical goods to be delivered to the Customer;
  • an investment or shareholding in any entity;
  • a transaction giving the Customer any financial return beyond the service ordered.

Article 3: Price, invoicing and tax status

Prices are shown on the Site in the currency displayed at the time of the order (in particular euro, US dollar or any other currency offered by the Site according to the Customer's location), inclusive of taxes where applicable. The invoicing currency is the one selected or displayed when the order is confirmed. Any exchange or bank fees related to payment in a foreign currency remain the Customer's responsibility. Payment is due in full when the order is confirmed.

The Seller, SHL Group LLC, is a private commercial entity registered in the United States. Consequently, the Customer is informed that:

  • the transaction is a purchase of services and does not qualify for any preferential tax scheme;
  • an invoice may be issued to the Customer on request;
  • no tax receipt (Cerfa or international equivalent) will be issued, as the transaction does not give rise to one;
  • the Seller accepts no liability for any personal tax steps taken by the Customer.

Article 4: Deliverables and field reports

The Seller undertakes to use its best efforts to send the Customer visual feedback (photographs, videos or reports) attesting to the performance of the service. This is an obligation of means, not of result.

The Customer expressly acknowledges that the nature, frequency and quality of such feedback are strictly subject to:

  • local security and geographical conditions;
  • the technical and logistical constraints of partners in the field;
  • administrative restrictions in the countries of intervention.

Article 5: Performance of services and lead times

Lead times mentioned on the Site are purely indicative. Actual implementation depends on external factors (climate, local permits, transport of materials). The Seller reserves the right to adapt the technical or geographical performance of the service if the initial conditions make it impossible or dangerous, in order to preserve the purpose of the order.

Article 6: Right of withdrawal and refund policy

In accordance with Article L221-28 of the French Consumer Code, the right of withdrawal cannot be exercised for services fully performed before the end of the withdrawal period, where performance began with the consumer's express prior consent and express waiver of the right of withdrawal.

By confirming the order, the Customer expressly requests immediate performance of the service (start of logistical preparations and mobilisation of local partners) and acknowledges that the right of withdrawal can no longer be exercised once the service has been fully performed.

Subject to mandatory legal provisions, no refund may be claimed in the event of:

  • exceeding the indicative lead times;
  • changes to the technical arrangements for performance in the field;
  • force majeure or climatic, political or health events preventing completion of the service.

An exceptional refund remains at the Seller's discretion, in particular where it is absolutely and definitively impossible to perform the service or an equivalent service.

Article 7: Limitation of liability

The Seller's liability is limited to the proper coordination of the performance of the service with local partners. The Seller cannot be held liable for indirect damage resulting from the execution of projects in the field. In any event, should the Seller's liability be established, it shall be capped at the exact amount actually received for the order concerned, subject to mandatory legal provisions to the contrary.

Article 8: Applicable law and jurisdiction

These Terms are governed by the laws of the State of New Mexico (United States). Any dispute relating to their interpretation, performance or validity shall, failing an amicable settlement, fall under the jurisdiction of the courts of the State of New Mexico, subject to mandatory jurisdiction rules applicable to consumers residing in the European Union.
